Tata Sons has approved a fresh five-year term for N Chandrasekaran as Executive Chairman. 

The fresh five-year term will begin after his current tenure ends on February 20, 2027.

The decision was taken at a Tata Sons board meeting in Mumbai on Thursday, September 17, as the current 5-year term of Chandrasekaran is scheduled to end on February 20, 2027.

The development represents a prominent change from last month’s succession discussions, when Chandrasekaran had indicated that he would step down after completing his current term. 

Tata Sons Approves Chandrasekaran’s Fresh Five-Year Term

As reported by The Indian Express, a Tata Sons statement reads that Chandrasekaran had agreed to rethink his decision after the board sought his continuation.

The board then backed his reappointment for the upcoming five-year term through the voting of majority. Surprisingly, Noel Tata (Chairman of Tata Trusts) was the only director reported to have cast the sole vote against the reappointment.

Chandrasekaran has led Tata Sons as chairman since 2017 and was reappointed to a second five-year term in 2022. Now, He will continue to lead the group beyond February 2027.

Why Chandrasekaran’s Reappointment Matters

After so many months of uncertainty, the decision has been made on the leadership succession of Tata Sons. 

In August 2026, Chandrasekaran announced that he would not seek re-election. His decision came amid earlier differences over the proposal to extend his tenure, prompting discussions around a possible succession process.

The Tata Sons Nomination and Remuneration Committee later suggested Chandrasekaran reconsider his decision. The committee cited his contribution to the group and what it described as the larger interests of the Tata Group. Chandrasekaran later agreed to reconsider, paving the way for Thursday’s board decision.

Tata Trusts unanimously recommended another five-year term for Chandrasekaran.

August 2026: Chandrasekaran Planned to Step Down

On August 12, Chandrasekaran said he decided not to offer himself for reappointment after his tenure ended on February 20, 2027, prompting succession discussions.

September 2026: Board Asked Him to Reconsider

The Nomination and Remuneration Committee asked Chandrasekaran to reconsider. The board approved his new five-year term on September 17.

Tata Trusts and Noel Tata Oppose the Move

The reappointment has highlighted differences between the Tata Sons board and Tata Trusts.

Noel Tata, who chairs Tata Trusts, opposed Chandrasekaran’s reappointment and voted against the resolution, according to reports. Tata Trusts later questioned the validity of the board’s decision and described the reappointment as a legal nullity.

These are Tata Trusts’ stated legal and governance objections, rather than an established court finding. The disagreement centres in part on the interpretation of Tata Sons’ Articles of Association and the role of trust-nominated directors in appointing or reappointing the chairman.

Tata Sons Listing: What Happens Next?

The Tata Sons listing is another key issue alongside Chandrasekaran’s reappointment.

The Tata Sons board has decided to move toward a public listing while taking steps to comply with RBI requirements applicable to its upper-layer NBFC status. The company will also seek guidance from the RBI, Tata Trusts and other stakeholders.

The listing issue is separate from Chandrasekaran’s reappointment but has become part of the wider Tata Sons governance and regulatory dispute. Tata Trusts, which holds about 66% of Tata Sons, has opposed the listing and called for other options to be explored.
